Olam was established in 1989 by the Kewalram Chanrai Group (KC Group), which has 150 years of trading history. Over the past 24 years, Olam has developed into a global supply chain manager headquartered in Singapore with global market leadership positions in many of its businesses. Our success has enabled us to attract co-sponsors and world-class investors, adding both business and financial strength to the company.
Founded in 1860, the KC Group is one of the oldest international companies in Africa and Asia with a long and successful trading history. Headquartered in Singapore, the KC Group is a conglomerate operating in over 54 countries and employing more than 12,000 people worldwide. The KC Group currently owns 483,493,065 shares, representing 20.2% of the total issued share capital of Olam.
Temasek Holdings, an Asia investment company headquartered in Singapore, holds 573,732,283 shares, representing 24.0% of total issued share capital of Olam.
The Olam management team has a significant shareholding in the company approximating 9.5% in the total issued share capital, which greatly aligns shareholder and management interests in creating value. These shares include 111,646,477 shares representing 4.7% of the total issued share capital of Olam held by Group Managing Director and Chief Executive Officer, Sunny George Verghese. This was a result of their subscription to our Employee Share Schemes which were implemented to motivate and retain highly qualified and experienced employees within our Group.
As of end-December 2012, Olam’s total number of issued shares is 2,390,213,869 (excluding treasury shares). The free float owned by public shareholders accounts for approximately 46.3% of the total issued share capital.

Employee Share Subscription Scheme
Olam Employee Share Option Scheme
The Olam Employee Share Option Scheme (ESOS) was approved by shareholders at an Extraordinary General Meeting held on 4 January 2005. The objectives of the ESOS are to provide an opportunity for employees of the Group, directors or full-time employees of the Company, to participate in the equity of the Company so as to motivate them to greater dedication, loyalty and higher standard of performance, and to give recognition to employees of the Group who have contributed to the success and development of the Company and/or the Group. This equity ownership scheme creates significant alignment with the Company’s growth plans by enabling individual employees to contribute to its growth and participate in the wealth being created.The ESOS is administered by the Human Resource & Compensation Committee. Under the amended rules of the ESOS, the Directors (including Non-Executive Directors and Independent Directors) and employees of the Group are eligible to participate in the ESOS and all subsequent options granted to the Group’s employees and Executive Directors shall have a life of 10 years instead of five. For options granted to the Company’s Non-Executive Directors and Independent Directors, the option period shall be no longer than five years. Controlling shareholders and associates of controlling shareholders are not eligible to participate in the ESOS.
As of 30 June 2012, the Company has 145,737,000 outstanding options issued to employees and Directors.
